AGREEMENT POLICY

PROJECTS TERMS:

  1. ✔ All estimates/quotes are based on our understanding of your requirements and as per given time frame. Any changes to the functionality including micro-improvements, may incur additional costs accordingly only for online software, and for websites, no additional costs will apply if you do not add any extra webpages or add any extra requirements. If it is required to design any extra webpages or add any extra new requirements that are totally out of your final requirement, then you have to pay extra amount as per your new requirements. Please ensure and clarify our understanding in a face-to-face meeting.
  2. ✔ By accepting a quote, you agree to and accept the terms and conditions of Digiqore Info Solutions Private Limited. Acceptance can be written, by email, by whatsapp, payment of Initiation, signing a quote.
  3. ✔ Clients to ensure that we have included all requirements in the quotes/proposals/estimates and those we fully understand their requirements. Clients must provide us with clear guidelines along with the flow or specific details they may require. When such details are not provided, we will proceed with our understanding of the requirements and quote accordingly. At a later stage, if a discrepancy arises, it may lead to additional costs to accommodate the changes. Thus, it is essential that you clarify every aspect of your website development and ensure that you have been quoted on the right requirements.
  4. ✔ Any complexity related to specific tasks, must be advised in advance and included in the proposal for costing purposes. We operate in good faith and rely on our clients to disclose the full picture at the time of quotation. Any discrepancy arising due to unclear requirements will not be borne by Digiqore Info Solutions Private Limited.
  5. ✔ There are limited man-hours allocated to each task including Project Management and Digital Strategist/Business Analyst. Minor changes may be included within the allocated hours. This will be analyzed on a case-by-case basis.
  6. ✔ Digiqore Info Solutions Private Limited will make every effort to complete the project/changes in the given timeframe. Reasonable delays are accepted if functionalities are redefined or modified.
  7. ✔ Any delays at client’s end may delay the project and proposed timeframes.
  8. ✔ Any bugs (programming errors) reported during or just after the development does not attract additional charges.
  9. ✔ Any re-work on an already completed task or any changes in the design after the design approval or any modifications requested during the development or after the Go-Live approval will not incur additional charges within 12 months from the delivery date, but if it is required to add extra new requirements then it will incur additional charges as per those new requirements. Under no circumstances will Digiqore Info Solutions Private Limited be liable for any delays caused by change in the project brief.
  10. ✔ Website/application content and all related materials need to be provided to us within the first week of starting the project. Any delays thereafter may delay the project and Digiqore Info Solutions Private Limited will no be liable for these circumstances.
  11. ✔ Our websites/applications are generally tested on PCs and include near recent versions of following browsers: IE, Firefox, and Chrome & Safari along with Android cellphones for mobile responsiveness. If you require testing to be done on any other browser or cellphone, please let us know in advance.
  12. ✔ If your website/application is not hosted on a Digiqore Info Solutions Private Limited server, any additional man-hours that may be required due to any server or network related issues are not covered in our quotes and may be charged separately.
  13. ✔ If you require the project to be put on hold, please inform us in writing in advance or through e-mail.
  14. ✔ Digiqore Info Solutions Private Limited software codes (not including open source software) are copyrights of Digiqore Info Solutions Private Limited. The codes can be handed over at an additional cost for use once all previous invoices are settled, on the condition that the codes are used only for use or modification for re-use for further development for the specified client or subsequent owners of that legal entity. Under no circumstance, the codes will be allowed to be used for re-selling or duplication purposes.
  15. ✔ Digiqore Info Solutions Private Limited will only upload the android / ios app once all previous invoices are settled. And it may take three business days to approve by google / apple. It may take more times if there is any systemetic problem arries in google server or play store / apple store.
  16. ✔ The website or software application will be designed to be deployed on the web, via using a commercial grade web-server or a similar setup. Based on your website traffic, the website may not perform if deployed on a generic office network environment.
  17. ✔ Digiqore Info Solutions Private Limited takes no responsibility of any open source products such as WordPress, Open Source carts, Joomla etc. It is client’s responsibility to update all components and third party softwares. We suggest you to take regular back-ups to avoid any disruptions.
  18. ✔ The client must recognize that at times there may be unforeseen circumstances that will delay the development process, particularly with reference to the integration of third party software. We will try our best to complete the project as agreed in the proposal. As long as it is within a reasonable period, the client agrees not to penalize us for any genuine delay, when every effort to keep the project on the proposed schedule is taken.
  19. ✔ Whenever our clients finalize their projects, we take 50% amount of the quoted amount in advance and start processing for designing and development purpose. Once the website or software uploaded or delivered to client, at that time we take the rest 50% amount and clear all unpaid amounts.
  20. ✔ Only 1(One) Domain registration charges are included as a part of any project/proposal. If you require more than 1(One) Domain, a quote for which will be submitted separately and it will incur an additional charge.
  21. ✔ Limited Hosting Space charges are included in the quotations unless mentioned otherwise. Digiqore Info Solutions Private Limited can organize an appropriate hosting solution if required, a quote for which will be submitted separately and it will incur an additional charge. Where clients decide to organize their own hosting, we should be consulted before finalizing the type of hosting and database, as it should meet the requirements of the technology used for the development. Please note that we’ll require full access with hosting support for testing and deploying the application. Digiqore Info Solutions Private Limited will not be liable for any delays or errors caused by direct or indirect actions of the hosting company.
  22. ✔ Digiqore Info Solutions Private Limited generally builds and tests the websites/applications on our own servers or hosted domains. Digiqore Info Solutions Private Limited cannot give access to their test servers and test websites to the clients or any third party. The website/application can be transferred-off to a nominated 3rd party server upon full payment of all invoices and dues.

DIGITAL MARKETING PACKAGE OR DIGITAL STRATEGY PACKAGE TERMS:

  1. ✔ All digital marketing/strategy packages are for monthly basis period. You can customize these packages. And pay the full amount in advance before starting the promotion and designing.
  2. ✔ Packages are designed with keeping in mind Digital Marketing/Strategy requirements of our clients.
  3. ✔ There are absolutely no refunds for any payments related to the digital marketing/strategy package.

BASIC ANNUAL RENEWAL & MAINTENANCE PACKAGE TERMS:

  1. ✔ All renewal & maintenance packages are for a minimum of 12 months period.
  2. ✔ Renewal & Maintenance packages are billed annually separately.
  3. ✔ Renewal Package include 12 months basic website hosting, email hosting and DNS hosting.
  4. ✔ Packages are designed to serve website maintenance tasks only. The hours may not be used for projects such as full redesign or major functionality add-ons. For maintenance the website such as any changes made in that website after 1st year will be charged extra (optional).
  5. ✔ Does-not include any Digital Strategy, Business Analysis, Solution Architect, SEO Bulk SMS and Digital Marketing work.
  6. ✔ The package is auto renewed every year on its anniversary date.
  7. ✔ There are absolutely no refunds for any payments related to the yearly maintenance package.
  8. ✔ In case Client needs to cancel the auto annual renewal, please inform us in writing (email) at least one month prior to the renewal date.
  9. ✔ If client denied to pay the renewal amount or ignore to pay that amount, then his/her website domain never be renewed and the DNS will be deleted automatically after its grace period. Clients will pay all the annual maintenance charge in advance just before the renewal date every year.

GENERAL APPROACH:

  1. ✔ Once we have the brand details such as logo, images, branding materials etc., we will have a mock-up for your review within 02 to 04 working days.
  2. ✔ Once the site is ready from our end, we generally hand it over to you for further review, test and/or to upload/change contents as necessary.
  3. ✔ At this stage you need to give us a Go-Live date for us to make the new website/project live.
  4. ✔ Your website can be made live within 01 to 02 working days of a Go Live approval, assuming that the accounts are clear. Kindly note that we require full payment prior to transferring the website on any external servers.
  5. ✔ You will be kept updated via emails and/or telephone calls as the project demands. However, please do not hesitate to contact us any time you require a project status. Also, please always keep us updated with your relevant email addresses/contact details.

PAYMENTS & REFUNDS:

  1. ✔ All prices are quoted in Indian Currency are exclusive of GST unless specified.
  2. ✔ All invoices are to be processed as per the schedule via your preferred method of payment.
  3. ✔ Receipt of payment is deemed as acceptance of the quote, milestone, delivery, project and terms & conditions.
  4. ✔ Digiqore Info Solutions Private Limited reserves the right to negotiate and refund appropriate portion of the amount paid by customer towards the requested service. If you cancel your order after making the payment, but the work has not commenced, we will refund 75% of the payment that you have already made. If the order is cancelled after the commencement of work, the maximum refund or charge will be 50% of the invoice. There will be no refund or adjustments if cancellation is called when more than 50% of the work has been completed. All cancellations must be received in writing and can be sent via regular mail, email or fax. Telephone requests on cancellations will not be accepted.
  5. ✔ Your have to pay the due amount within 05 (Five) days from the delivery day.
  6. ✔ Late fees and charges: All outstanding invoices will incur a late payment fee of 5% of the pending amount per month, from the delivery date.
  7. ✔ If you are late with a payment or have any queries regarding the Invoice, please contact Accounts Manager immediately on receiving the invoice or reminder emails.
  8. ✔ All communications/correspondences are generally done via emails and phone calls. It is client’s responsibility to keep us updated with their relevant email addresses.
  9. ✔ Any payment relating to the domain name registration renewal or hosting or any 3rd party products or service purchased on behalf of the client will have to be paid in full and is non-refundable. In case of all renewal cancellations, we must be notified at least 30 days before the renewal date.
  10. ✔ Reserves the right to refuse service to any client, if these are not aligned with our business operating principles and policies.

LIABILITIES:

Digiqore Info Solutions Private Limited reserves the right to refuse service to any client, if these are not aligned with our business operating principles and policies.


HOSTING:

  1. ✔ Hosting is an annual charge, which must be paid in advance for the whole year. Except if the client is under one of our Maintenance packages.
  2. ✔ It is the client’s responsibility to renew the hosting in time i.e. before the expiry date. Failure to renew in time can lead to loss of files, data, emails, backups etc. All unpaid hosting are disabled or deleted from the server.
  3. ✔ All renewals must be paid by seven (07) working days prior to the expiry date. Digiqore Info Solutions Private Limited will not be responsible for issues relating to delayed payment.
  4. ✔ The Customer must maintain the security of all account passwords and applications or scripts and ensure all scripts under the hosting service are free from malicious content that may harm any part of the Server, other client accounts hosted, or the external systems of visitors viewing the hosted content.

DOMAINS:

  1. ✔ All domain registrations and renewals are to be paid in advance.
  2. ✔ Expiration of a domain can result in service disruption and loss of domain.
  3. ✔ Digiqore Info Solutions Private Limited will not be responsible if a domain expires due to non-payment / late payment of the charges. All payments must be made by seven working days before the expiry date.
  4. ✔ It is client’s responsibility to renew their domain names with us.

HAVE A SHORT LOOK:

  1. ✔ 1. Minimum Server Rental Charge will be Rs. 2,500.00 (Rupees Two Thousand Five Hundred only) and Domain Renewal Charge will depend on market price if you want to continue your website for your business.
  2. ✔ 2. Annual Maintenance Charge will be 25% of your selected package rate (Optional).
  3. ✔ 3. Every changes/addition of any file or page or database of your website will be charged as per company norms after first 12 months service. (It depends on your requirement that how many pages or files or databases you wants to change/add. That’s mean it will depend on your new requirements.)
  4. ✔ 4. Every changes of your android app will be charged extra as per company norms if any new requirements are to be added.
  5. ✔ 5. Whenever you choose a web package, that package will be assigned for you. If you want to increase webpages from the specific number of pages for that package, you have to pay additional Rs. 500/- for per web page design.
  6. ✔ 6. Digiqore Info Solutions Private Limited will not be responsible if any infected or corrupted file(s) uploaded by your side on server through your admin panel. It may affect your pages/files/databases on server.
  7. ✔ 7. After modifying any page or file or database, if any error occurs again, you have to inform us through phone calls along with written or by emails. Digiqore Info Solutions Private Limited will take necessary actions for that purpose immediately and we will resolve that within 01-02 business days from your complain lodging time. It may take more times due to getting improper information from your side, lack of Internet connections or electricity, any major problem in hardware or software, etc.
  8. ✔ 8. Only Digiqore Info Solutions Private Limited will decide whether any error resolved through online from our side or it is required to go to your place to solve those problems.
  9. ✔ 9. After fixing every problem or error, you have to send a confirmation email to us for that your problem is successfully solved by us.
  10. ✔ 10. Digiqore Info Solutions Private Limited never disclose any password of admin or staff panel to any of your staff member without your proper written (Email) permission.
  11. ✔ 11. Training would be on paid basis if required more than once. Whenever we deliver the complete project to our clients, we always provide training for our clients and their staff members without charging any training charges. For first time But after that it becomes chargeable.

RATE OF ADDITIONAL CHANGES, TRAINING & AMC:

  1. ✔ Extra Page or File or Database Charges= Rs. 500/- (Rupees Five Hundred only) per webpage design.
  2. ✔ Training Charges= Rs. 400/Hour (Rupees Four Hundred only per Hour).
  3. ✔ Annual Maintenance Charge= 25% of your selected packages (Only for any kind of Websites/Web Applications/Online Software/Offline Software). [OPTIONAL].
  4. ✔ Minimum Renewal Charges Package= Rs. 2,500/- per year for Domain Renewal + Hosting Rental as per market price.
  5. ✔ Digital Marketing Services (Facebook Promotion, Bulk SMS, Google Adwards, SEO, SEM, SMO, Email Marketing, Branding, Google AdSense, etc.) are not included in any web packages. You have to pay additional charges for those services as per our rate charts if required.
  6. ✔ If you want more server space from mentioned server space in our packages, you have to pay additional amount for that if required.
